Tsholofelo Mofokeng

Tsholofelo Mofokeng is a Senior Associate in the Mergers and Acquisitions Practice at Bowmans in Johannesburg, specialising in mergers and acquisitions, private equity, and corporate governance. She advises clients on private mergers and acquisitions, reorganisations, private equity, and corporate governance matters, with experience across a wide range of sectors.

Tsholofelo has advised Sango Capital Partners on its acquisition of Neopak Holdings from Ethos; Actis on the South African aspects of its disposal of Lekela Power to Infinity Group and Africa Finance Corporation for US$1.5 billion (Dealmakers Private Equity Deal of the Year 2023); CSSAF Holdings I and IAPFEF JJ Limited on their disposal of the J&J Group to Imperial Logistics for ZAR 4.4 billion; RTT Group on its entry into a joint venture with the Shoprite Group; Mahlako Gas Energy on its acquisition of a minority stake in Tetra4; and K2016405430 (South Africa) Proprietary Limited on a series B round resulting in an issue of shares to IFC and DEG. Her experience also includes conducting legal due diligence investigations, drafting and interpreting corporate and commercial agreements including share purchase agreements, sale of business agreements, restructures, asset-for-share transactions, share repurchases, shareholders' agreements, and memoranda of incorporation, as well as providing general legal advice on company law and contractual matters.

Tsholofelo holds a BA Law, an LL.B, and an LL.M from the University of Pretoria. She is a member of the Law Society of South Africa and is fluent in English, Sesotho, and isiZulu.
