Nomaswazi Moilwa

Nomaswazi Moilwa is an Associate at ENS in the Corporate Commercial Law practice, focusing on Mergers and Acquisitions. She specialises in general corporate law, mergers and acquisitions (M&A), corporate restructurings and broad-based black economic empowerment (B-BBEE).

She provides legal advice to both local and international clients on a wide range of corporate matters. With extensive experience in acquisitions and disposals, she is skilled in conducting due diligence investigations and has a strong track record of negotiating key commercial documents, including sale agreements (shares, businesses and assets), share subscription agreements, shareholders’ agreements, memoranda of incorporation, and board and shareholders’ resolutions.

Her expertise in M&A transactions and corporate restructuring makes her a trusted advisor for clients navigating complex corporate transactions, mergers and restructuring processes. Her focus on corporate governance and contract negotiations ensures clients achieve their strategic goals while staying compliant with legal and regulatory requirements.

She also has experience in B-BBEE advisory and compliance, helping clients structure and implement B-BBEE transactions that meet regulatory requirements and align with empowerment strategies, and provides corporate governance advice, including drafting board and committee charters and policies.

She holds a BCom Law and an LLB from the University of Pretoria, and is admitted as an attorney of the High Court of South Africa.
